1. 資格審核 Eligibility
批發僅限於擁有合法商業登記的零售商、分銷商或品牌合作夥伴。
本公司保留審核及批准任何批發申請的最終權利。
若申請者之品牌定位或營運模式與本公司理念不符，本公司有權拒絕合作。
Wholesale is available only to registered retailers, distributors, or brand partners with valid business licenses.
We reserve the right to review and approve all wholesale applications.
Applications inconsistent with our brand values or business principles may be declined.
2. 最低訂購量 Minimum Order Quantity (MOQ)
每筆批發訂單需達本公司設定的最低訂購金額或數量。
不同產品線的 MOQ 將於報價單或合作文件中明確列出。
Each wholesale order must meet the minimum order quantity or value specified by the Company.
MOQ requirements may vary by product category and will be detailed in the quotation or agreement.
3. 價格與付款 Pricing & Payment
所有價格以正式批發報價單為準，恕不另行通知。
所有價格均不含稅及運費，除非另有書面約定。
首次合作須全額付款；長期合作夥伴可依協議提供帳期。
接受付款方式：銀行轉帳、信用卡或指定電子支付。
All prices are based on the official wholesale quotation and are subject to change without prior notice.
All prices exclude tax and shipping unless otherwise agreed in writing.
Full payment is required for first-time orders; credit terms may be offered to approved long-term partners.
Accepted payment methods include bank transfer, credit card, or designated e-payment.
4. 運送與交付 Shipping & Delivery
確認訂單後，標準出貨期為 7–14 個工作天，依庫存及產區情況調整。
運費由經銷商承擔，除非另有特別協議或批發優惠。
貨物風險於交付物流承運商後即轉移至經銷商。
如需特製包裝或聯名設計，須於下單前確認設計及時程。
Orders are typically processed and shipped within 7–14 business days after confirmation, subject to stock and sourcing conditions.
Shipping costs are borne by the reseller unless otherwise stated.
Risk of loss transfers to the reseller once goods are handed to the carrier.
Special packaging or co-branded requests must be confirmed prior to order placement.
5. 退貨與損壞政策 Returns & Claims
所有產品均經嚴格品質檢驗，出貨後恕不接受退換貨，除非產品有瑕疵或出貨錯誤。
如發現問題，須於收貨後 7 日內提出，並附上照片證明。
經確認後，本公司將視情況提供補貨或折抵。
All products undergo strict quality control and are non-returnable unless defective or incorrectly shipped.
Claims must be made within 7 days of receipt with photographic evidence.
Upon approval, replacements or credits will be arranged accordingly.
6. 品牌與商標使用 Brand & Trademark Usage
經銷商不得更改、重製、重新包裝或誤導性地使用本品牌名稱、標誌及包裝設計。
未經授權，不得於第三方電商平台（如 Amazon、Shopee 等）銷售。
任何合作推廣、聯名活動或媒體活動，須事先獲得書面同意。
Resellers are strictly prohibited from altering, reproducing, or misleadingly using the brand name, logo, or packaging design.
Unauthorized sales on third-party e-commerce platforms (e.g., Amazon, Shopee) are not permitted.
All co-branded promotions, collaborations, or public communications require prior written consent.
7. 保密條款 Confidentiality
經銷商須對本公司提供之報價、配方、供應鏈與商業資料保密。
所有合作文件屬機密資訊，不得外洩或轉交第三方。
Resellers must maintain strict confidentiality regarding all proprietary information, including pricing, formulations, and supplier data.
All business documents and communications are confidential and must not be disclosed to third parties.
8. 責任限制 Limitation of Liability
本公司對任何間接損失或後果性損害概不負責。
任何爭議中，本公司責任金額以該筆訂單總額為上限。
The Company shall not be liable for any indirect or consequential damages.
In any case, liability shall not exceed the total value of the related order.
9. 條款修改與法律適用 Amendments & Governing Law
本公司保留隨時修訂條款之權利，更新內容將於官網公布並即時生效。
本條款受本公司註冊地法律管轄，任何爭議以該地法院為專屬司法管轄。
The Company reserves the right to amend these terms at any time.
Updates will be published on the official website and take effect immediately.
These Terms are governed by the laws of the Company’s registered location, and any disputes shall be subject to the exclusive jurisdiction of its courts.
